Ubiqube seeks injunction over alleged takeover bid

This report is a localnews.ie summary based on public court reporting and records; sources are listed below.

Ubiqube (Ireland) sought a High Court injunction over what it alleged was an attempt to seize control of the company. The proceedings were reported on 5 October 2022.

The company sought orders to prevent Jean-Louis Clement, Declan Merry and Stephen McClure from holding themselves out as or acting as its directors. PIP Holdings Limited, a shareholder and defendant, was alleged to have appointed the three through an unlawful resolution.

At the High Court on 5 October 2022, Brian Conroy BL, for Ubiqube, told Mr Justice Brian O’Moore that an injunction was needed to remove confusion and bring certainty to the business. The judge granted permission on an ex-parte basis to serve short notice of the injunction application and allowed formal service of the proceedings.
